CONSTITUTION AND BY-LAWS

CONSTITUTION OF THE ASIAN SOCIETY OF VETERINARY SURGERY (AiSVS)

ARTICLE I - NAME

This is a non-profit organization and shall be named as Asian Society of Veterinary Surgery (AiSVS) , hereinafter referred to as "The Society".

ARTICLE II - OBJECTIVES

The objectives of The Society shall be the advancement of the art and science of veterinary surgery and anesthesia (including small and large animals) by :
a) Promoting scientific and technological progresses in veterinary surgery.
b) Establishment and management of the specialization system for veterinary surgery in Asia (Asian College of Veterinary Surgery, AiCVS).
c) Promoting undergraduate and postgraduate education in veterinary surgery in Asia
d) Promoting co-operation with international veterinary associations.

ARTICLE III - MEMBERSHIP

The Society is composed of members of the societies/colleges/organizations in each Asian Country/District, the objectives of which are the same as aforementioned. These societies/colleges/organizations must be approved in the Executive Board of The Society. In addition, veterinarians not in these countries/districts who want to join The Society can be a full member after the approval in the Executive Board.

Section 1.

The types of membership shall be:
(a) Full member
(b) Student member
(c) Affiliate member
(d) Honorary member
(e) Life member
(f) Patron member

Section 2.

Qualifications for membership:
(a) Full membership shall be open to veterinarians who are interested in veterinary surgery through their activities such as research, teaching or practice in each Asian society/college/organization, and whom the Executive Board of AiSVS considers eligible as full members because of their special contribution or training in surgery.
(b) Student membership shall be open to veterinary students and graduate students. Student membership shall be approved by the Executive Board. Student members shall not have the right to vote or hold office in the organization.
(c) Affiliate membership shall be open to non-veterinarians who are interested in veterinary surgery. Affiliate membership shall be approved by the Executive Board. Affiliate members shall not have the right to vote or hold office in the organization.
(d) Honorary membership shall be reserved for any person of distinction who has made major contributions to the advancement of veterinary surgery. Honorary membership shall be approved by the Executive Board. Honorary members shall not have the right to vote or to hold office in the organization and shall not be required to pay the initial membership fee or annual dues.
(e) Life membership shall be reserved for any member in good standing who has reached the age of 65 years. Any full member who has retired from gainful employment may apply for life membership. Each application shall be considered individually by the Executive Board for approval. A life member shall be exempt from paying dues.
(f) Patron membership shall be open to companies, organizations, or individuals who are interested in supporting the activity of AiSVS. Patron members will have opportunities to give exhibition and make advertisement at the meetings of AiSVS and on the website and printed matters of AiSVS. Patron membership shall be approved by the Executive Board. Patron members shall not have the right to vote or hold office in the organization.

ARTICLE IV - REGENTS

Section 1.

The regent is a representative of each Asian society/college/organization.

Section 2.

The regents shall consist of President, Vice President(s), Secretary(s) and Treasurer(s).

Section 3.

The term of regents shall be four (4) years.

Section 4.

Regents may be re-elected without limitation depending on the by-law of each society/college/organization.

Section 5.

The Vice President shall become acting President to fill out the unexpired term, if for any reason the President shall be unable to fulfil the duties of office.

Section 6.

Other vacancies which may occur shall be filled by the Executive Board from full members.

ARTICLE V ? EXECUTIVE BOARD

Section 1.

The Executive Board shall be composed of the regents elected in each country, the immediate past President, and those who would play an important role in The Society. The Executive Board may co-opt additional full members when necessary.

Section 2.

This board shall be the executive body of the AiSVS and shall have the responsibility for administering The Society affairs.

ARTICLE VI ? MEETINGS (CONFERENCE)

Section 1.

Meetings (Conferences) of Asian Society of Veterinary Surgery shall be organized annually in Asian countries.

Section 2.

The Meeting (Conference) shall be organized for the research and clinical presentation, post-graduate education, and specialization for veterinary surgery. Scientific programs will be planned and approved by the Scientific Program Committee. Committee members will be decided in the Business Meeting at least one year before the annual meeting.

Section 3.

Executive Board Meeting and Business Meeting including all AiSVS members shall be held at least once per year at the place of AiSVS Annual Meeting and at any time according to President’s request if necessary.

ARTICLE VII - LANGUAGE

The official language used for all AISVS meetings is English.

ARTICLE VIII - AMENDMENTS

Proposed amendments to the Constitution shall be signed by at least three (3) full members of good standing and submitted to the Executive Board for its consideration. The proposed amendments will be discussed at the Executive Board Meeting and can be adopted after the approval by at least two-thirds of the Board members. For fundamental amendments of the Constitution, they need a general approval by the Business Meeting at the AiSVS.

By-laws

ARTICLE I - MEMBERSHIP

Section 1.

Application for membership shall be made on the official application form. Application form should be sent to the Treasurer via E-mail or usual mail. Acceptance of all membership shall require an approval of the Executive Board.

Section 2.

Membership may be terminated by the Executive Board for the following reasons: any member who has been dropped from membership by the national veterinary medical association for violation of the code of ethics. Any member who has not paid dues following one annual billing and one reminder by the Treasurer.

ARTICLE II - ELECTIONS

Section 1.

The President shall be elected at the Executive Board Meeting before the termination. Vice President(s), Secretary(s) and Treasurer(s) shall be appointed by the President. Results of the election of the President and appointment of the Executive Board Members should be approved at the Business Meeting at AiSVS.

Section 2.

Candidates of the President and the Executive Board Members must be full members for at least two years before nomination and should be residents in Asian countries. They are desired to be fluent in English, the official language of The Society.

ARTICLE III - DUTIES OF REGENTS

Section 1.

The President shall:
- appoint the Executive Board Members.
- serve as a chairperson of the Executive Board Meeting.
- appoint all committees and the committee members. - organize a committee to establish the Asian specialization system for veterinary surgery.
- organize a committee to execute the annual meeting of AiSVS. serve as a member of the Executive Board for additional four (3) years after the conclusion of his/her term.

Section 2.

The Secretary shall:
- be responsible to publish Annual Report of AiSVS.
- be responsible to manage the website of AiSVS.
- be responsible for maintaining minutes of the Executive Board Meetings.
- maintain the records of The Society.
- perform all duties incidental to the office of Secretary.

Section 3.

The Vice President shall also assume the duties of the President in his absence or at his request.

Section 4.

The Treasurer shall:
- be responsible to receive the application forms of memberships.
- be responsible to manage the directory of all memberships.
- be responsible for the funds of The Society and keep accounts of all receipts and payments by The Society.
- serve as a chairperson of Budget Committee.
- report the financial status of The Society which will be certified by a qualified accountant.
- perform all duties incidental to the office of the Treasurer.

ARTICLE IV - DUTIES OF THE EXECUTIVE BOARD

Section 1.

The Executive Board shall:
- govern the body of The Society.
- give approval to the payment of all bills.
- recommend membership.
- meet to conduct The Society business as requested by any regents.

Section 2.

A majority of the members of the Executive Board must be present to constitute a quorum.

ARTICLE V - MEETINGS

Section 1.

Executive Board Meetings shall be held at least once per year: once at the annual meeting of AiSVS.

Section 2.

Special meetings may be called by the President at any time.

ARTICLE VI - DUES

Section 1.

Annual dues as well as initial fees for various types of members shall be fixed from time to time by the Executive Board of The Society.

Section 2.

Temporarily annual dues must be decided in the societies/colleges/organizations of each country/district, which should be kept and managed in each society/college/organization.

Section 3.

When the fixed office and personnel as a main office of AiSVS will be decided, all the dues should be sent to the office and managed under supervision of Treasurer.

Section 4.

These budgets should be used in the annual meeting of AiSVS or any other AiSVS activities if necessary.

ARTICLE VII - ANNUAL REPORT OF AiSVS

Section 1.

An edition of Annual Report of the AiSVS shall be published at least once a year.

Section 2.

The Secretary shall be the editor of Annual Report. He shall appoint an editorial committee and shall be a chairperson of the committee.

Section 3.

Annual Report shall be sent free to all members (by usual mail or e-mail): full members, student members, affiliate members, honorary members, life members, and patron members.

Section 4.

The Annual Report shall contain:
- minutes of the Executive Board Meetings.
- directory of all members.
- report of the latest Business Meeting of AiSVS.
- agenda for the next Business Meeting.
- any other material of interest and value to the field of veterinary surgery.

ARTICLE VIII - AMENDMENTS

Proposed amendments to the By-laws shall be signed by at least three (3) full members of good standing and submitted to the Executive Board for its consideration. The proposed amendments will be discussed at the Executive Board Meeting and can be adopted after the approval by at least two-thirds of the Board members. For fundamental amendments of the By-laws, they need a general approval at the Business Meeting of AiSVS.
